would I have to file a lawsuit?

I am living in a building in a Manhattan co-op. I am also a shareholder with it. I want to know if a conflict of interest exists if a member of the board is also the building’s treasurer. He is also the senior vice president and the managing director of the managing agent. If so, to whom should I file a complaint or would I have to file a lawsuit?
